1. Service Description

SuitaryCore provides a comprehensive SaaS Intelligence Platform consisting of three integrated suites:

• Intelligence Engine: Predictive intelligence for proactive SaaS spend management
• SpendGuard Suite: Complete visibility and cost optimization tools
• GhostAudit Security Suite: Continuous access control and risk mitigation

Our platform enables organizations to predict spend, eliminate waste, and govern security across their entire SaaS ecosystem.

2. Account Registration and Eligibility

To use SuitaryCore, you must:

• Be at least 18 years old or the age of majority in your jurisdiction
• Have the legal authority to enter into this agreement
• Provide accurate, complete, and current information during registration
• Maintain the security of your account credentials

You are responsible for all activities that occur under your account and for maintaining the confidentiality of your login credentials.

3. Acceptable Use Policy

You agree to use SuitaryCore only for lawful purposes and in accordance with these Terms. You may not:

• Use the service for any illegal or unauthorized purpose
• Violate any applicable laws or regulations
• Interfere with or disrupt the service or servers
• Attempt to gain unauthorized access to any part of the service
• Use the service to transmit malicious code or harmful content
• Reverse engineer, decompile, or attempt to extract source code
• Resell, redistribute, or sublicense the service without written permission

4. Data and Privacy

Your privacy is important to us. Our collection, use, and protection of your data is governed by our Privacy Policy, which is incorporated into these Terms by reference.

You retain ownership of your data. By using SuitaryCore, you grant us a limited license to process your data solely to provide our services. We implement industry-standard security measures to protect your information.

5. Subscription and Billing

Subscription Plans

SuitaryCore offers various subscription plans with different features and usage limits. Subscription fees are billed in advance on a monthly or annual basis.

Payment Terms

• All fees are non-refundable unless otherwise specified
• You must provide valid payment information
• Subscriptions automatically renew unless cancelled
• We reserve the right to change pricing with 30 days notice

Cancellation

You may cancel your subscription at any time. Cancellation will be effective at the end of your current billing period. You will continue to have access to the service until the end of your paid subscription period.

6. Intellectual Property

SuitaryCore and all related technology, including our Intelligence Engine, SpendGuard Suite, and GhostAudit Security Suite, are protected by intellectual property laws. We retain all rights, title, and interest in our platform and services.

You may not copy, modify, distribute, sell, or lease any part of our services or included software, nor may you reverse engineer or attempt to extract the source code of that software.

7. Service Availability and Support

We strive to maintain high service availability but cannot guarantee uninterrupted access. We may perform maintenance, updates, or modifications that temporarily affect service availability.

Support is provided according to your subscription plan. We aim to respond to support requests within one business day for paid subscribers.

8. Limitation of Liability

Our total liability for any claims arising from these Terms or your use of the service shall not exceed the amount you paid us in the twelve months preceding the claim.

9. Indemnification

You agree to indemnify and hold harmless SuitaryCore, its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from:

• Your use of the service
• Your violation of these Terms
• Your violation of any rights of another party
• Your data or content submitted through the service

10. Termination

We may terminate or suspend your account and access to the service immediately, without prior notice, if you breach these Terms or engage in conduct that we determine is harmful to our service or other users.

Upon termination, your right to use the service will cease immediately. We may delete your account and data, though we will provide reasonable notice when possible.

11. Third-Party Integrations

SuitaryCore may integrate with third-party services and applications. We are not responsible for the availability, functionality, or security of third-party services. Your use of third-party integrations is subject to their respective terms and conditions.

12. Modifications to Terms

We reserve the right to modify these Terms at any time. We will notify you of significant changes via email or through the service. Your continued use of SuitaryCore after changes become effective constitutes acceptance of the new Terms.

13. Governing Law and Disputes

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles. Any disputes arising from these Terms or your use of the service will be resolved through binding arbitration in accordance with the rules of the American Arbitration Association.

14. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that the remaining Terms will remain in full force and effect.
